Agreement Not to Market the Assets. Until the Closing and thereafter if the Closing occurs, ONTARIO shall not assign, transfer, encumber or in any way dispose of any interest in or to the Shares to any other person or entity, or negotiate with any other person or entity with respect to the transfer or grant of any interest or option whatsoever in the Assets, except that ONTARIO may continue to sell aggregate, sand and gravel from the Assets in the ordinary course of ONTARIO’s business. These obligations of ONTARIO shall terminate before the Closing if and at such time as this Agreement is terminated as provided in Section 8.
