Common use of Agreement to Employ Clause in Contracts

Agreement to Employ. The company hereby agrees to employ the Executive, and Executive hereby agrees to be employed by the Company, pursuant to the terms and conditions set forth in this Agreement. Executive represents and agrees that (i) he is entering into this Agreement voluntarily and that his employment hereunder and compliance with the terms and conditions hereof will not conflict with or result in a breach by him of any agreement to which he is a party or by which he may be bound, (ii) he has not violated, and in connection with his employment by the Company will not violate, any non-solicitation or similar covenant to which he is or may be bound, and (iii) in connection with his employment by the Company, he will not use any confidential or proprietary information he may have obtained in connection with his employment by any previous employer.

The Executive represents and agrees that (i) he is entering into this Agreement voluntarily and that his employment hereunder and compliance with the terms and conditions hereof will not conflict with or result in a the breach by him of any agreement to which he is a party or by which he may be bound, (ii) he has not violatednot, and in connection with his employment by with the Company will not violatenot, violate any non-solicitation or other similar covenant to or agreement by which he is or may be bound, bound and (iii) in connection with his employment by with the Company, Company he will not use any confidential or proprietary information he may have obtained in connection with his employment by with any previous employerprior employer other than the Company. The period during which the Executive is employed pursuant to this Agreement shall be referred to as the "EMPLOYMENT PERIOD".
