Agreement to sell the Sale Share. 3.1 The Seller shall sell to the Buyer and the Buyer shall buy (or shall procure that the Buyer’s nominee will buy) the Sale Share with full title guarantee, free from all Encumbrances and together with all rights attaching to the Sale Share on Completion, including the right to receive all dividends or distributions declared, paid or made on or after Completion.
