Agreement to Stand Still. From the date of this Release until the earliest to occur of (i) the date of the Settlement Payment, (ii) the Expiration Date, or (iii) a petition being presented or order being made for the winding up of the Company or the appointment of a liquidator or provisional liquidator of the Company or the granting of an administration order in relation to the Company, the Company hereby agrees not to initiate a lawsuit or bring a Claim of any kind against the Parent and the Parent hereby agrees not to initiate a lawsuit or bring a Claim of any kind against the Company, in any court, or otherwise, relating to or arising from the subject matter of the Proposed Acquisition and any action, event or non-event arising out of or related thereto, including, but not limited, to the Acquisition Agreement, any related waivers or consents, or this Release, including, but not limited to, any claim under any common law, whether in law or equity, or federal, state or local statute, ordinance or rule of law.
Agreement to Stand Still. Seller agrees that, from the date of execution hereof, it shall not, directly or indirectly, negotiate with any party other than Buyer for the sale of its Business or any part thereof. In the event Closing does not occur hereunder, Buyer agrees that Seller may immediately commence negotiations with parties other than Buyer regarding the sale of its business.

The foregoing provisions of this Section 5 shall not apply to the sale of any shares to an underwriter pursuant to an underwriting agreement, and shall only be applicable to the Key Holders if all officers, directors and holders of more than one percent (1%) of the outstanding Common Stock (after giving effect to the conversion into Common Stock of all outstanding Preferred Stock) enter into similar agreements. The underwriters in connection with the IPO are intended third-party beneficiaries of this Section 5 and shall have the right, power and authority to enforce the provisions hereof as though they were a party hereto. Each Key Holder further agrees to execute such agreements as may be reasonably requested by the underwriters in the IPO that are consistent with this Section 5 or that are necessary to give further effect thereto.
