Common use of Agreement Valid Clause in Contracts

Agreement Valid. This Agreement constitutes a valid and binding obligation of the Vendor and the Vendor is not a party to, bound by or subject to any indenture, mortgage, lease, agreement, instrument, statute, regulation, order, judgment, decree or law which is violated, contravened or breached by, or under which any default would occur, as a result of the execution and delivery by the Vendor of this Agreement or the performance by the Vendor of any of the terms hereof.

Agreement Valid. This Agreement constitutes a legal, valid and binding obligation of the Vendor and Vendor, the Vendor is not a party to, to or bound by or subject to any indenture, mortgage, lease, agreement, instrument, statute, regulation, order, judgment, decree or law which is would be violated, contravened or breached by, by or under which any default would occur, occur as a result of the execution and delivery by the Vendor of this Agreement or the performance by the Vendor of any of the terms hereof., including without limitation any triggering event under any law governing the division of assets, and there is no shareholders' agreement between the Vendor and the Company;

Agreement Valid. This Agreement constitutes a valid and binding obligation of the Vendor and enforceable against the Vendor in accordance with its terms. The Vendor is not a party to, bound by or subject to any indenture, mortgage, lease, agreement, instrument, statute, regulation, order, judgment, decree or law which is would be violated, contravened or breached by, by or under which any default would occur, occur as a result of the execution and delivery by the Vendor of this Agreement or the performance by the Vendor of any of the terms hereof.;
