From the Effective Date until the earlier of the Payment Date and the Termination Date, each of Pan American and Minera San Xxxxxx covenants to not take any action or enter into any agreement, arrangement or understanding which would reasonably be expected to cause the Payment Condition not to be met or that would be reasonably expected to result in an unreasonable delay in meeting the Payment Condition.
