Agreements, Etc. Schedule 3.2 sets forth opposite such Principal Shareholder's name a true and complete list and accurate description of the material terms of (i) all the employment and consultancy arrangements between the Company and such Principal Shareholder and (ii) any other type of contract, commitment or understanding between the Company and such Principal Shareholder which (except as otherwise generally provided by applicable law) is not immediately terminable without cost or other liability at or at any time after the Effective Time, in each case to which such Principal Shareholder is a party and not made in the Ordinary Course of business, or made in the Ordinary Course of business which are currently in effect.
