Agribrands Representations and Warranties. As of the Closing Date, none of the representations or warranties of Agribrands contained in this Agreement, disregarding any qualifications herein regarding materiality or Agribrands Material Adverse Effect shall be untrue or incorrect as of the Closing Date, except to the extent such representations and warranties speak as of an earlier date, to the extent that such untrue or incorrect representations or warranties, when taken together as a whole, have had or would reasonably be expected to have an Agribrands Material Adverse Effect.
