Common use of Airport Security Program Clause in Contracts

Airport Security Program. Lessee must obtain Airport Security Identification and Access Media (I.D. Media) for its employees, subcontractors, suppliers, agents, and representatives requiring access to the sterile areas, secured air operations area (AOA), and security identification display area (SIDA), or other secured areas as may be identified in the Airport Security Program, and pay any related costs associated with this privileges as set forth under this Section. Said I.D. Media will be valid as set forth under the Airport Security Program, and must be returned to the Airport Public Safety Division, at 2193 Air Cargo Road within twenty-four (24) hours after expiration, suspension, and/or termination of this Agreement. Said I.D. Media will be valid for no longer than the period of this Agreement. Lessee covenants that it will at all times maintain the integrity of the Airport Security Program and comply with all applicable provisions of the Federal Aviation Administration (FAA) and Transportation Security Administration (TSA) regulations 49 CFR Parts 1500, 1544, 1546, 1548, and 1550 as promulgated, and that it will always maintain the security of the Airport, Premises, and/or any AOA access which Lessee maintains. Lessee hereby agrees that it shall also be responsible for conducting and verifying any and all required background checks for I.D. Media for any and all of its employees, subcontractors, suppliers, agents, and/or representatives. Lessee also hereby agrees that it shall be responsible for any and all of the actions of its employees, subcontractors, suppliers, agents, and/or representatives and shall provide any and all necessary escorts, as outlined in the Airport Security Program. Lessee hereby agrees that it will immediately implement any and all security changes that are directed either directly or indirectly by the TSA, FAA, or Lessor. Should Lessee, its employees, subcontractors, suppliers, agents, and/or representatives cause any security violations, and should Lessor be cited for a civil fine or penalty for such security violation, Lessee agrees to reimburse Lessor for any monetary civil fine or penalty, which may be imposed on Lessor by FAA or TSA, however, nothing herein shall prevent the Lessee from contesting the legality, validity or application of such fine or penalty to the full extent Lessee may be lawfully entitled. Lessee may have I.D. Media/access privileges immediately suspended and/or revoked by Lessor for failure to adhere to the Airport Security Program, or for failure to return all I.D. Media within the time-frames specified herein. Such actions may also be grounds for termination of this Agreement for non-compliance as defined under Article 31, Cancellation by Lessor, at the sole discretion of Lessor, if such failure by Lessee is not cured by Lessee within thirty (30) days after receiving notice from Lessor of such failure. In accordance with the Airport Security Program, Lessee must obtain Airport Security Identification and Access Media and fingerprinting (if required) for their eligible employees, subcontractors, suppliers, agents, and/or representatives.

Airport Security Program. Lessee CLI must obtain Airport Security Identification and Access Media (I.D. Media) for its employees, subcontractors, suppliers, agents, and representatives requiring access to the sterile areas, secured air operations area Air Operations Area (AOA), and security identification display area (SIDA), or other secured areas as may be identified in the Airport Security Program, . Upon completion of proper application and pay any related costs associated with this privileges training for I.D. Media as set forth under in this Sectionparagraph, the CLI shall be issued at no cost initial and renewal I.D. Media. With respect to the issuance, maintenance, and administration of I.D. Media, CLI shall pay or cause to be paid to the CUSOMTER charges as may be established by the CUSTOMER for the replacement of lost or stolen I.D. Media, and/or administrative costs with respect to those I.D. Media not returned to the CUSTOMER. Said I.D. Media will be valid as set forth under the Airport Security Program, and must be returned to the Airport Public Safety Division, at 2193 Air Cargo Road within twenty-four (24) hours after expiration, suspension, and/or termination of this Agreement. Said I.D. Media will be valid for no longer than the period of this Agreement. Lessee CLI shall be responsible for requesting the CUSTOMER issue I.D. Media to all employees or other persons who are authorized access to Security Identification Display Areas (“SIDA”) on the Airport as designated in the Airport Security Program. In addition, CLI shall be responsible for the immediate reporting of all lost or stolen I.D. Media and the immediate return of the I.D. Media of CLI personnel transferred from the Airport, or terminated from the employ of CLI. CLI covenants that it will at all times maintain the integrity of the Airport Security Program and comply with all applicable provisions of the Federal Aviation Administration (FAA) and Transportation Security Administration (TSA) regulations 49 CFR Parts 1500, 1544, 1546, 1548, and 1550 as promulgated, and that it will always maintain the security of the Airport, Premises, and/or any AOA access which Lessee CLI maintains. Media for Media, which data may include the fingerprinting of any and all of its employees, subcontractors, suppliers, agents, and/or representatives. Lessee CLI also hereby agrees that it shall be responsible for any and all of the actions of its employees, subcontractors, suppliers, agents, and/or representatives and shall provide any and all necessary escorts, as outlined in the Airport Security Program. Lessee CLI hereby agrees that it will immediately implement any and all security changes that are directed may be required, either directly or indirectly indirectly, by the Transportation Security Administration (“TSA”), Federal Aviation Administration (“FAA”), or CUSTOMER. CLI further agrees to rectify any security deficiency or other deficiency as may be determined as such by the CUSTOMER or the DOT, the FAA, or the TSA, FAAor any other federal or state agency with jurisdiction. In the event CLI fails to remedy any such deficiency, or Lessorthe CUSTOMER may do so at the sole cost and expense of CLI. The CUSTOMER reserves the right to take whatever action is necessary to rectify any security deficiency. Should LesseeCLI, its employees, subcontractors, suppliers, agents, and/or representatives cause any security violations, and should Lessor CUSTOMER be cited for a civil fine or penalty for such security violation, Lessee CLI agrees to reimburse Lessor CUSTOMER for any monetary civil fine or penalty, which may be imposed on Lessor CUSTOMER by FAA or TSA, however, nothing herein shall prevent the Lessee CLI from contesting the legality, validity or application of such fine or penalty to the full extent Lessee CLI may be lawfully entitled. Media, and Vehicle Ramp Permit. CLI company vehicles prominently displaying a permanent company name and/or logo on vehicles and equipment are excluded from the requirement of displaying a Vehicle Ramp Permit. CLI agrees that its vehicles, tools, equipment, supplies, and other personal property are subject to being inspected and searched when attempting to enter or leave and while on the AOA. CLI acknowledges and understands that the foregoing requirements are for the protection of users of the Airport Security Programand are intended to reduce incidents of aircraft sabotage, Lessee must obtain Airport Security Identification thefts, and Access Media and fingerprinting (if required) for their eligible employees, subcontractors, suppliers, agents, and/or representativesother unlawful activities at the Airport.
