All Accrued Compensation and Accrued Benefits. (ii) A pro-rata bonus payment the amount of which will be the amount of Executive’s annual bonus earned for the prior fiscal year multiplied by a fraction, the numerator of which is the number of days during the year of his Permitted Resignation that transpired before the Date of Termination, and the denominator of which is three hundred sixty-five (365).
