All Actions Taken. All actions necessary under the applicable UCC in any jurisdiction to be taken (i) to give the Issuer a first priority perfected security interest or ownership interest in the Collateral Certificate, and (ii) to give the Indenture Trustee a first priority perfected security interest in the Collateral Certificate (including, without limitation, UCC filings with the Delaware Secretary of State), in each case subject to any statutory or other non-consentual liens with respect to the Collateral Certificate, have been taken. The Transferor has no knowledge of any current statutory or other non-consentual liens which the Collateral Certificate is subject.

The Transferor Seller has no knowledge of any current statutory or other non-consentual liens to which the Collateral Certificate is subject.
