All Agreements in Writing. The parties agree that the terms, conditions, undertakings and representations of this Development Agreement, the exhibits hereto, and the terms of approvals formally adopted by the City constitute all of the agreements and understandings of the parties with respect to the subjects addressed therein. There are no oral or other written agreements or understandings, and no subsequent oral or written understandings shall be valid and binding upon the City unless duly executed by the City and approved by written resolution or motion of the Delano City Council.
