Allgemeine Compliance. Der Verkäufer hält alle anwendbaren Einfuhr- und Ausfuhrvorschriften ein und stellt KEYSIGHT auf Anfrage Informationen oder Unterlagen zum Nachweis der Einhaltung dieser Vorschriften und alle weiteren Informationen oder Unterlagen zur Verfügung, die KEYSIGHT benötigt, um die für den Warenempfang geltenden Vorschriften zu befolgen. Insbesondere gewährt der Verkäufer folgendes:
Allgemeine Compliance. Der Verkäufer befolgt alle anwendbaren Gesetze, Regeln, Verordnungen und Vorschriften zur Produktsicherheit. Insbesondere erklärt der Antikorruptionsgesetze, -regeln und -verordnungen, einschließlich des Foreign Corrupt Practices Act sowie alle Vorgaben, die im OECD-Übereinkommen gegen Korruption ausländischer Amtsträger im Rahmen internationaler Geschäftstransaktionen – OECD Convention on Combating Bribery of Foreign 10.1 Vertragsbruch durch den Verkäufer. Falls der Verkäufer eine Bestimmung dieser Bestellung verletzt, kann KEYSIGHT die Bestellung ganz oder teilweise kündigen, es sei denn, der Verkäufer behebt den Vertragsbruch innerhalb zehn (10) Arbeitstagen nach Erhalt der Benachrichtigung, in der KEYSIGHT den Vertragsbuch anzeigt.

  • Child Support Compliance Act If the Contract Amount is $100,000 or more, this section is applicable. Contractor recognizes the importance of child and family support obligations and fully complies with (and will continue to comply with during the Term) all applicable state and federal laws relating to child and family support enforcement, including disclosure of information and compliance with earnings assignment orders, as provided in Family Code section 5200 et seq. Contractor provides the names of all new employees to the New Hire Registry maintained by the California Employment Development Department.

  • Good Standing and Government Compliance Borrower shall maintain its and each of its Subsidiaries’ organizational existence and good standing in the Borrower State, shall maintain qualification and good standing in each other jurisdiction in which the failure to so qualify could reasonably be expected to have a Material Adverse Effect, and shall furnish to Bank the organizational identification number issued to Borrower by the authorities of the jurisdiction in which Borrower is organized, if applicable. Borrower shall meet, and shall cause each Subsidiary to meet, the minimum funding requirements of ERISA with respect to any employee benefit plans subject to ERISA. Borrower shall comply in all material respects with all applicable Environmental Laws, and maintain all material permits, licenses and approvals required thereunder where the failure to do so could reasonably be expected to have a Material Adverse Effect. Borrower shall comply, and shall cause each Subsidiary to comply, with all statutes, laws, ordinances and government rules and regulations to which it is subject, and shall maintain, and shall cause each of its Subsidiaries to maintain, in force all licenses, approvals and agreements, the loss of which or failure to comply with which would reasonably be expected to have a Material Adverse Effect.

  • Public safety compliance The Hirer shall comply with all conditions and regulations made in respect of the premises by the Local Authority, the Licensing Authority, and the hall’s Fire Risk Assessment or otherwise, particularly in connection with any event which constitutes regulated entertainment, at which alcohol is sold or provided or which is attended by children. The Hirer shall also comply with the hall’s health and safety policy. The Fire Service shall be called to any outbreak of fire, however slight, and details shall be given to the secretary of the management committee. (a) The Hirer acknowledges that they have received instruction in the following matters: • The action to be taken in event of fire. This includes calling the Fire Brigade and evacuating the hall. • The location and use of fire equipment. (Include diagram of location when handing over keys.) • Escape routes and the need to keep them clear. • Method of operation of escape door fastenings. • Appreciation of the importance of any fire doors and of closing all fire doors at the time of a fire. • Location of the first aid box. (b) In advance of any activity whether regulated entertainment or not the Hirer shall check the following items: • That all fire exits are unlocked and panic bolts in good working order. • That all escape routes are free of obstruction and can be safely used for instant free public exit. • That any fire doors are not wedged open. • That exit signs are illuminated. • That there are no obvious fire hazards on the premises. • That emergency lighting supply illuminating all exit signs and routes are turned on during the whole of the time the premises are occupied (if not operated by an automatic mains failure switching device).

  • Fraud, Waste, and Abuse Contractor understands that HHS does not tolerate any type of fraud, waste, or abuse. Violations of law, agency policies, or standards of ethical conduct will be investigated, and appropriate actions will be taken. Pursuant to Texas Government Code, Section 321.022, if the administrative head of a department or entity that is subject to audit by the state auditor has reasonable cause to believe that money received from the state by the department or entity or by a client or contractor of the department or entity may have been lost, misappropriated, or misused, or that other fraudulent or unlawful conduct has occurred in relation to the operation of the department or entity, the administrative head shall report the reason and basis for the belief to the Texas State Auditor’s Office (SAO). All employees or contractors who have reasonable cause to believe that fraud, waste, or abuse has occurred (including misconduct by any HHS employee, Grantee officer, agent, employee, or subcontractor that would constitute fraud, waste, or abuse) are required to immediately report the questioned activity to the Health and Human Services Commission's Office of Inspector General. Contractor agrees to comply with all applicable laws, rules, regulations, and System Agency policies regarding fraud, waste, and abuse including, but not limited to, HHS Circular C-027.   • Anti-Corruption Compliance (a) Neither the Company nor its Subsidiaries, nor any of their directors or officers, nor to the knowledge of the Company, any of the Company or its Subsidiaries’ respective employees, agents, Representatives or other Persons acting for or on behalf of the Company or any of its Subsidiaries has: (i) made any bribe, influence payment, kickback, payoff, benefits or any other type of payment (whether tangible or intangible) that would be unlawful under any applicable Anti-Bribery Laws; (ii) been in violation of any Anti-Bribery Laws, offered, paid, promised to pay, or authorized any payment or transfer of anything of value, directly or indirectly, to any person for the purpose of (A) influencing any act or decision of any Government Official in his or her official capacity, (B) inducing a Government Official to do or omit to do any act in relation to his or her lawful duty, (C) securing any improper advantage, (D) inducing a Government Official to influence or affect any act, decision or omission of any Governmental Authority, or (E) assisting the Company or any of its Subsidiaries, or any agent or any other Person acting for or on behalf of the Company or any of its Subsidiaries, in obtaining or retaining business for or with, or in directing business to, any Person; or (iii) accepted or received any contributions, payments, gifts, or expenditures that would be unlawful under any Anti-Bribery Laws. (b) Each of the Company and its Subsidiaries, has instituted and maintains policies and procedures reasonably designed to ensure compliance with the Anti-Bribery Laws. (c) As of the date hereof, there are no current or pending internal investigations, or, to the knowledge of the Company, any third-party investigations (including by any Governmental Authority), or internal or external audits that address any material allegations concerning possible material violations of the Anti-Bribery Laws related to the Company or any of the Company’s Subsidiaries.
