Allocation of Welfare Assets and Liabilities. Effective as of the Effective Time, except as otherwise specifically provided herein, the ▇▇▇▇▇▇▇ Controls Group shall retain all Liabilities relating to Incurred Claims under the ▇▇▇▇▇▇▇ Controls U.S. Welfare Plans, and shall also retain Assets (including, without limitation, Medicare reimbursements, pharmaceutical rebates, and similar items) associated with such Incurred Claims. The Adient Group shall be responsible for all Liabilities relating to Incurred Claims under any Adient U.S. Welfare Plan and shall also retain Assets (including, without limitation, Medicare reimbursements, pharmaceutical rebates, and similar items) associated with such Incurred Claims.
