Common use of ALPS’s Appointment and Duties Clause in Contracts

ALPS’s Appointment and Duties. (a) The Trust hereby appoints ALPS to provide the transfer agent and other specified services set forth in Appendix B hereto, as amended from time to time, upon the terms and conditions hereinafter set forth. ALPS hereby accepts such appointment and agrees to furnish such specified services. (b) The Trust hereby appoints ALPS to provide the interactive client services set forth in Appendix C (FAN Web Services), Appendix D (TA2000 VOICE Services), Appendix E (VISION Access) and Appendix F (ALPS Virtual Access (AVA)) attached hereto, as amended from time to time, upon the terms and conditions hereinafter set forth. ALPS hereby accepts such appointment and agrees to furnish such specified services. (c) ALPS shall for all purposes be deemed to be an independent contractor and shall, except as otherwise expressly authorized in this Agreement, have no authority to act for or represent the Trust in any way or otherwise be deemed an agent of the Trust. (d) ALPS may employ or associate itself with any person or organization as ALPS believes to be desirable in the performance of its duties hereunder; provided that, in such event, the compensation of such persons or organizations shall be paid by and be the sole responsibility of ALPS, and the Trust shall bear no cost or obligation with respect thereto; and provided further that ALPS shall not be relieved of any of its obligations under this Agreement in such event and shall be responsible for all acts of any such persons or organizations taken in furtherance of this Agreement to the same extent it would be for its own acts.

(d) ALPS may employ or associate itself with any person or organization as ALPS believes to be desirable in the performance of its duties hereunder; provided that, in such event, the compensation of such persons or organizations shall be paid by and be the sole responsibility of ALPS, and the Trust shall bear no cost or obligation with respect thereto; and provided further that ALPS shall not be relieved of any of its obligations under this Agreement in such event and shall be responsible for all acts of any such persons or organizations taken in furtherance of this Agreement to the same extent it would be for its own acts.

(a) The Each Trust hereby appoints ALPS to provide the transfer agent and other specified services set forth in Appendix B attached hereto, as amended from time to time, upon the terms and conditions hereinafter set forth. ALPS hereby accepts such appointment appointments and agrees to furnish such specified services. (b) The Each Trust hereby appoints ALPS to provide the interactive client services set forth in Appendix C (FAN Web Shareholder Portal Services), Appendix D (TA2000 VOICE Services), Appendix E (VISION Access) and Appendix F (ALPS Virtual Access (AVA)) attached hereto, as amended from time to time, upon the terms and conditions hereinafter set forth. ALPS hereby accepts such appointment appointments and agrees to furnish such specified services. (c) ALPS shall for all purposes be deemed to be an independent contractor and shall, except as otherwise expressly authorized in this AgreementAgreement or otherwise in writing between the parties, have no authority to act for or represent the Trust Trusts or the Funds in any way way, or otherwise be deemed an agent of the TrustTrusts or the Funds. (d) ALPS may employ or associate itself with any person or organization as ALPS believes to be desirable in the performance of its duties hereunder; provided that, in such event, ALPS cannot delegate any of its obligations under this Agreement to any person or organization who is not an affiliate of ALPS without the prior written approval of the Trusts. In the event any such delegation, the compensation of such persons or organizations shall be paid by and be the sole responsibility of ALPS, and the Trust Trusts shall bear no cost or obligation with respect thereto; and provided further that ALPS shall not be relieved of any of its obligations under this Agreement in such event and shall be responsible for all acts of any such persons or organizations taken in furtherance of this Agreement to the same extent it would be for its own acts. (e) Notwithstanding Section 1(d) above, the Trusts acknowledge that as of the effective date of this Agreement, ALPS has delegated certain services hereunder to the organizations listed in Appendix G attached hereto. In the event that ALPS notifies the Trusts of its intent to engage different or additional entity(ies) for purposes of delegating any of ALPS’ services hereto, and the Trusts withhold consent to such delegation, ALPS will in no way be required to manage or assist any alternative service or systems provider selected by the Trusts, or be required to modify or alter any of ALPS’ systems or software. The Trusts acknowledge that the selection of an alternative service or systems provider may result in an increase to the fees set forth in Appendix K hereto, including but not limited to the out-of-pocket fees billed to the Funds.

ALPS’s Appointment and Duties. (a) The Trust Cortina hereby appoints ALPS to provide the transfer agent and other specified services set forth in Appendix B hereto, as amended from time to time, upon the terms and conditions hereinafter set forth. ALPS hereby accepts such appointment and agrees to furnish such specified services. (b) The Trust hereby Cortina appoints ALPS to provide the interactive client services set forth in Appendix C (FAN Transfer Agent Web Services), Appendix D (TA2000 VOICE Transfer Agent IVR Services), ) and Appendix E (VISION Access) and Appendix F (ALPS Virtual Access (AVA)Access) attached hereto, as amended from time to time, upon the terms and conditions hereinafter set forth. ALPS hereby accepts such appointment and agrees to furnish such specified services. (c) ALPS shall for all purposes be deemed to be an independent contractor and shall, except as otherwise expressly authorized in this Agreement, have no authority to act for or represent the Trust Cortina in any way or otherwise be deemed an agent of the TrustCortina. (d) ALPS may employ or associate itself with any person or organization as ALPS believes to be desirable in the performance of its duties hereunder; provided that, in such event, the compensation of such persons or organizations shall be paid by and be the sole responsibility of ALPS, and the Trust Cortina shall bear no cost or obligation with respect thereto; and provided further that ALPS shall not be relieved of any of its obligations under this Agreement in such event and shall be responsible for all acts of any such persons or organizations taken in furtherance of this Agreement to the same extent it would be for its own acts.

ALPS hereby accepts such appointment and agrees to furnish such specified services. (b) The Trust Fund hereby appoints ALPS to provide the interactive client services set forth in Appendix C (FAN Web Services), Appendix D (TA2000 VOICE Services), Appendix E (VISION Access) and Appendix F (ALPS Virtual Access (AVA)) attached hereto, as amended from time to time, upon the terms and conditions hereinafter set forth. ALPS hereby accepts such appointment and agrees to furnish such specified services. (c) ALPS shall for all purposes be deemed to be an independent contractor and shall, except as otherwise expressly authorized in this Agreement, have no authority to act for or represent the Trust Fund in any way or otherwise be deemed an agent of the TrustFund. (d) ALPS may employ or associate itself with any person or organization as ALPS believes to be desirable in the performance of its duties hereunder; provided that, in such event, the compensation of such persons or organizations shall be paid by and be the sole responsibility of ALPS, and the Trust Fund shall bear no cost or obligation with respect thereto; and provided further that ALPS shall not be relieved of any of its obligations under this Agreement in such event and shall be responsible for all acts of any such persons or organizations taken in furtherance of this Agreement to the same extent it would be for its own acts.

(d) ALPS may employ or associate itself with any person or organization as ALPS believes to be desirable in the performance of its duties hereunder; provided that, in such event, the compensation of such persons or organizations shall be paid by and be the sole responsibility of ALPS, and the Trust shall bear no cost or obligation with respect thereto; and provided further that ALPS shall not be relieved of any of its obligations under this Agreement in such event and shall be responsible for all acts of any such persons or organizations taken in furtherance of this Agreement to the same extent it would be for its own acts.

ALPS hereby accepts such appointment and agrees to furnish such specified services. (c) ALPS shall for all purposes be deemed to be an independent contractor and shall, except as otherwise expressly authorized in this Agreement, have no authority to act for or represent the Trust or the Fund in any way or otherwise be deemed an agent of the TrustTrust or the Fund. (d) ALPS may employ or associate itself with any person or organization as ALPS believes to be desirable in the performance of its duties hereunder; provided that, in such event, the compensation of such persons or organizations shall be paid by and be the sole responsibility of ALPS, and neither the Trust nor Beacon Hill shall bear no any cost or obligation with respect thereto; and provided further that ALPS shall not be relieved of any of its obligations under this Agreement in such event event, including, without limitation, liability to the Trust or Beacon Hill for such performance in accordance with the terms hereof, and shall be responsible for all acts of any such persons or organizations taken in furtherance of this Agreement to the same extent it would be for its own acts.
