Alternative Abbott Facilities. In the event that Abbott is unable at any time to Fill and Finish Product in its McPherson, Kansas facility, Abbott will, at Scios' request, transfer as promptly as is commercially reasonable the manufacture of Product for Scios to another facility of ▇▇▇▇▇▇ which has available, comparable capacity and quality. In such event, Scios shall be responsible for reimbursing ▇▇▇▇▇▇ for the reasonable additional costs to ▇▇▇▇▇▇ of validating such alternative facilities as agreed by the parties in advance of the transfer.
