Amended and Restated Disposition and Development Agreement; Defined Terms. This Purchase Price Loan Promissory Note (this “Note”) is that certain Purchase Price Loan Promissory Note given in accordance with that certain Amended and Restated Disposition and Development Agreement (Lemon and Water Phase III) by and between the Maker and Agency, dated as of August 1, 2008 (the “Agreement”). A copy of the Agreement is on file with the Agency Secretary at 000 X. Xxxxxxx Xxxx., 0xx Xxxxx, Xxxxxxx, Xxxxxxxxxx 00000 as a public record. Unless otherwise specifically defined herein, capitalized terms utilized herein shall have the definitions ascribed to such terms in the Agreement. Maker will materially benefit from the Purchase Price Loan, the making of which is evidenced by this Note. Maker understands that Maker's execution of this Note is one of the Conditions Precedent to the Agency's obligation to make the Purchase Price Loan, and the Agency would not have made the Purchase Price Loan but for Maker's execution of this Note. The rights and obligations of the Maker and the Agency under this Note shall be governed by the Agreement and by the additional terms set forth in this Note.
