Notwithstanding any of the foregoing provisions of the Plan to the contrary, an Employer which has previously established a profit sharing Plan and trust or money purchase pension Plan and trust, as applicable, (the "Original Plan") may, in accordance with the provisions of the Original Plan, amend and continue that Plan in the form of this Plan and Trust and become an Employer hereunder, subject to the following:

AMENDMENT AND CONTINUATION. OF PRIOR PLAN; TRANSFER OF FUNDS TO OR FROM OTHER QUALIFIED PLANS.
AMENDMENT AND CONTINUATION. A partnership known as Timberland Growth Limited Partnership (the "Partnership") was formed under the Act on _________, 1998 pursuant to a partnership agreement dated as of ______, 1998 (the "Original Partnership Agreement"). The Partners hereby amend and restate the Original Partnership Agreement in its entirety as set forth in this Agreement and agree to continue the Partnership on the terms set forth herein. Except as expressly provided herein to the contrary, the rights and obligations of the Partners and the administration and termination of the Partnership shall be governed by the Act. The Partnership Interest of each Partner shall be personal property for all purposes.

If the Employer's execution of the Adoption Agreement is an amendment of a Prior Plan Statement of which the Trustee was the trustee, such execution shall not be considered to be a termination of one plan and the establishment of another but, on the contrary, shall be considered to be the express continuation of the Plan under new documents.

(B) The words "Original Plan" shall be substituted for the word "Plan" where the word appears in Section 2.2 of the Plan;
