Section 9(b) of the Agreement is amended by adding the following at the end of such Section: “No amendment, modification or waiver in respect of this Agreement will be effective unless the Rating Agency Condition is satisfied. The foregoing shall not, however, create any obligation on the part of UBS AG to provide any such written notice.”
