Common use of Amendment costs Clause in Contracts

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 (Change of currency), the Borrowers shall, within three Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 15.16 (Change of currency), the Borrowers Parent shall, within three Business Days of demand, and having been provided with reasonable evidence of such, reimburse the Agent and the Security Facility Agent for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Agent or the Security Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 28.10 (Change of currency), the Borrowers Parent shall, within three five Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 24.7 (Change of currency), the Borrowers Ultimate Parent shall, within three Business Days of demand, reimburse the Agent and the Security Agent Lender for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Agent Lender or the Security Agent by any Receiver or Delegate in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 30.13 (Change of currency), the Borrowers Parent shall, within three Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent or and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 (Change of currency), the Borrowers Parent shall, within three five Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 33.9 (Change of currency), the Borrowers Parent shall, within three Business Days of demand, reimburse (or procure reimbursement of) each of the Facility Agent and the Security Agent Trustee for the amount of all costs and expenses (including legal fees) reasonably incurred by the Facility Agent or and the Security Agent Trustee in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 33.9 (Change of currency), the Borrowers Parent shall, within three Business Days of demand, reimburse (or procure reimbursement of) each of the Facility Agent and the Security Agent Trustee for the amount of all reasonable and properly documented costs and expenses (including legal fees) reasonably incurred by the Facility Agent or and the Security Agent Trustee in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 clause 38.9 (Change of currency), the Borrowers each Unit Parent shall, within three Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 clause 31.9 (Change of currency), the Borrowers Parent shall, within three Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 30.10 (Change of currency), the Borrowers Parent shall, within three (3) Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 31.10 (Change of currency), the Borrowers Parent shall, within three Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 36.10 (Change of currency), the Borrowers Parent shall, within three Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent or and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 (Change of currency), the Borrowers Original Borrower shall, within three Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 27.10 (Change of currency), the Borrowers Parent shall, within three five Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) the Parent or an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 29.9 33.10 (Change of currency), the Borrowers Parent shall, within three Business Days of demand, reimburse the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent or the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.
