Common use of Amendment costs Clause in Contracts

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 (Change of currency), the Company shall, within three (3) Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writing) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 30.9 (Change of currency), the Company shallshall (or shall procure that an Obligor will), within three (3) Business Days of demand, reimburse each of the Agent and the Security Agent Trustee for the amount of all reasonable costs and expenses (including including, but not limited to, legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Agent and Agent, the Security Agent Trustee (and, and in the case of the Security AgentTrustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 clause 34.10 (Change of currency), the Company shall, within three (3) Business Days of demand, reimburse each of the Facility Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Facility Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 33.10 clause 26.10 (Change of currency), the Company Borrower (or the Guarantor) shall, within three (3) Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 32.9 (Change of currency), the Company shall, within three (3) Business Days of written demand, reimburse each of the Agent and the Security Agent Trustee for the amount of all reasonable costs and expenses (including including, but not limited to, legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Agent and the Security Agent Trustee (and, and in the case of the Security AgentTrustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 30.9 (Change of currency), the Company shall, within three (3) Business Days of demand, reimburse the Agent, the Arranger and each of the Agent and the Security Agent Lender for the amount of all reasonable costs and expenses (including legal fees, but in this case, only the legal fees subject to any applicable arrangements agreed of one law firm in writingeach relevant jurisdiction acting on behalf of all the Lenders) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) such parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 30.9 (Change of currency), the Company Borrower shall, within three (3) five Business Days of demandreceipt of an invoice or other written evidence, reimburse each of the Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Agent and the Security Agent (and, and in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 clause 32.10 (Change of currency), the Company shall, within three (3) Business Days of demand, reimburse each of the Facility Agent and the Security Agent for the amount of all reasonable costs and expenses (including including, but not limited to, legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Facility Agent and the Security Agent (and, and in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement, to the extent pre-agreed with the Company.

If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 (Change of currency), the Company shall, within three (3) Business Days of demand, reimburse each of the Agent and the Security Collateral Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writing) reasonably incurred by the Agent and the Security Collateral Agent (and, in the case of the Security Collateral Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.. |EU-DOCS\34803319.2||

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 34.9 (Change of currency), the Principal Borrower (or the Company on its behalf) shall, within three (3) five Business Days of demand, reimburse each of the Agent and the Security Agent Trustee for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Agent and the Security Agent Trustee (and, in the case of the Security AgentTrustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 34.9 (Change of currency), the Company Parent shall, within three (3) Business Days of demand, reimburse (or cause to be paid to) each of the Agent Agents and the Security Agent Agent, as applicable, for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the such Agent and the such Security Agent (and, in the case of the a Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 (Change of currency), the Company relevant Obligor shall, within three (3) Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writinglegal, travel and/or valuation fees) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) an Obligor the Borrower requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 33.10 29.10 (Change of currency), the Company Borrower shall, within three (3) Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writing) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 37.10 (Change of currency), the Company shall, within three (3) Business Days of demand, reimburse each of the Agent and the Security Agent Trustee for the amount of all reasonable costs and expenses (including reasonable legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Agent and the Security Agent Trustee (and, in the case of the Security AgentTrustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 28.10 (Change of currency), the Company shall, within three (3) five Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees of law firms approved by the Company and subject to any applicable arrangements agreed in writingcaps) reasonably incurred by the Agent and and/or the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 29.9 (Change of currency), the Company Borrower shall, within three (3) Business Days of demand, reimburse each of the Agent and the Security Agent Trustee for the amount of all reasonable costs and expenses (including including, but not limited to, legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Agent and the Security Agent Trustee (and, and in the case of the Security AgentTrustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 29.10 (Change of currency), the Company shall, within three (3) Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Agent and the Security Agent (and, and the in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 clause 31.10 (Change of currency), the Company shall, within three (3) 3 Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 (Change of currency), the Company shall, within three (3) Business Days of demand, reimburse each of the Agent and the Security Collateral Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writing) reasonably incurred by the Agent and the Security Collateral Agent (and, in the case of the Security Collateral Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 28.10 (Change of currency), the Company shall, within three (3) five Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writingfees, disbursements and other out of pocket expenses) reasonably incurred or made by the Agent Agent, the Arrangers and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 28.9 (Change of currency), the Company Borrower shall, within three (3) Business Days of demand, reimburse the Agent, the Arranger and each of the Agent and the Security Agent Lender for the amount of all reasonable costs and expenses (including reasonable legal fees, but in this case, only the legal fees subject to any applicable arrangements agreed of one law firm in writingeach relevant jurisdiction acting on behalf of all the Lenders) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) such parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 31.9 (Change of currency), the Company shall, within three (3) Business Days of demand, reimburse each of the Facility Agent and the Security Agent for the amount of all reasonable costs and expenses (including agreed legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Facility Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If If: (a) an Obligor requests an amendment, waiver or consent or consent; or (b) an amendment is required pursuant to Clause 33.10 31.10 (Change of currency), the Company Borrower shall, within three (3) five Business Days of written demand, reimburse each of the Facility Agent and the Security Agent for the amount of all reasonable costs and expenses (including legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Facility Agent and or the Security Agent (andand/or, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 27.9 (Change of currency) (in each case, after the Closing Date), the Company shall, within three (3) 20 Business Days of demand, reimburse each of the Interim Facility Agent and the Interim Security Agent for the amount of all reasonable pre-agreed third party costs and expenses (including legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Interim Facility Agent and or the Interim Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 31.9 (Change of currency), the Company shall, within three (3) Business Days of demand, reimburse each of the Facility Agent and the Security Agent for the amount of all reasonable costs and expenses (including including, but not limited to, legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Facility Agent and the Security Agent (and, and in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement, to the extent pre-agreed with the Company.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 33.10 36.9 (Change of currency), the Company shall, within three (3) Business Days of demand, reimburse each of the Facility Agent and the Security Agent for the amount of all reasonable costs and expenses (including agreed legal fees subject to any applicable arrangements agreed in writingfees) reasonably incurred by the Facility Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.
