Common use of Amendment costs Clause in Contracts

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or (b) an amendment is required pursuant to Clause 31.10 (Change of Currency), the Borrower shall, within three (3) Business Days of demand, reimburse the COFACE Agent and the Security Agent for the amount of all costs and expenses (including legal fees) incurred by the COFACE Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or consent under any Finance Document or (b) an amendment is required pursuant to Clause 31.10 28.9 (Change of Currencycurrency), the Borrower shall, within three ten (310) Business Days of demand, reimburse the COFACE Facility Agent and or the Security Agent Agent, as appropriate, for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Facility Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (aA) the Borrower an Obligor requests an amendment, waiver or consent; or (bB) an amendment is required pursuant to Clause 31.10 clause 34.8 (Change of Currencycurrency), the Original Borrower shall, within three (3) fifteen Business Days of demand, reimburse the COFACE Agent and the Security Facility Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: If (a) the Borrower requests an amendment, waiver or consent; or consent under any Finance Document or (b) an amendment is required pursuant to Clause 31.10 28.9 (Change of Currencycurrency), the Borrower shall, within three ten (310) Business Days of demand, reimburse the COFACE Agent and the Security Facility Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: If (a) the Borrower requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 (Change as a result of Currency)or in connection with a Default, the Borrower shall, within three ten (310) Business Days of demand, reimburse the COFACE Agent and the Security Facility Agent for the amount of all reasonable out-of-pocket costs and expenses (including all legal fees) incurred by the COFACE Agent and the Security Agent Finance Parties in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: If (a) the Borrower an Obligor requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 27.9 (Change of Currency), the Borrower shall, within three ten (310) Business Days of demand, reimburse the COFACE Agent and the Security Facility Agent for the amount of all reasonable costs and expenses (including outside legal fees) incurred by the COFACE Agent and the Security Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: If (a) the a Borrower requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 28.11 (Change of Currencycurrency), the Borrower Borrowers shall, subject to presentation of all relevant invoices, within three five (35) Business Days of demand, reimburse the COFACE Agent and the Security Facility Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower an Obligor requests an amendment, waiver or consent; or consent to, in respect of or under a Finance Document or (b) an amendment is required pursuant to Clause 31.10 26.9 (Change of Currency), of or in relation to any Finance Document, the Borrower shall, within three (3) ten Business Days of demand, reimburse the COFACE Agent and the Security Administrative Agent for the amount of all reasonable and documented costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Administrative Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower If an Obligor requests an amendment, waiver or consent; or (b) an , or any amendment or waiver is required pursuant to Clause 31.10 36.3 (Change of CurrencyChanges to reference rates), the Borrower shall, within three (3) 10 Business Days of demand, reimburse the COFACE Agent and the Security Agent Trustee for the amount of all actual documented costs and all documented expenses (including reasonable fees of its legal feesadvisers) reasonably incurred by the COFACE Agent and or the Security Agent Trustee in responding to, evaluating, negotiating or complying with that request or requirementin connection with that required amendment.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 27.9 (Change of Currencycurrency), the Borrower shall, within three (3) seven Business Days of demand, reimburse the COFACE Agent and the Security Facility Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (aC) the Borrower an Obligor requests an amendment, waiver or consent; or (bD) an amendment is required pursuant to Clause 31.10 clause 34.8 (Change of Currencycurrency), the Original Borrower shall, within three (3) fifteen Business Days of demand, reimburse the COFACE Agent and the Security Facility Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or consent under any Finance Document or (b) an amendment is required pursuant to Clause 31.10 28.9 (Change of Currencycurrency), the Borrower shall, within three ten (310) Business Days of demand, reimburse the COFACE Agent and the Security Facility Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 clause 30.9‎ (Change of Currencycurrency), the Borrower shall, within three (3) 3 Business Days of demand, reimburse each of the COFACE Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and or the Security Agent (and, in the case of the Security Agent, any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: If (a) the Borrower an Obligor requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 30.13 (Change of Currencycurrency), the Borrower shall, within three (3) Business Days of demand, reimburse each of the COFACE Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: If (a) the Borrower an Obligor requests an amendment, waiver or consent; or consent or (b) an amendment is required pursuant to Clause 31.10 32.10 (Change of Currencycurrency), the Borrower shall, within three (3) Business Days of demand, reimburse each of the COFACE Agent and the Security Agent Trustee for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Agent Trustee (and, in the case of the Security Trustee, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower If an Obligor requests an amendment, waiver or consent; or (b) an amendment is required pursuant to Clause 31.10 (Change of Currency), consent under or in connection with any Finance Document the Borrower shall, within three (3) ten Business Days of demand, reimburse the COFACE Facility Agent and or, as the case may be, the Security Agent Agent, for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Facility Agent and or, as the case may be, the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. 14.2.1. If: (a) 14.2.1.1. the Borrower requests an amendment, waiver or consentconsent in relation to a Finance Document; or (b) 14.2.1.2. an amendment is required pursuant to Clause 31.10 30.9 (Change of Currency), the Borrower shall, within three (3) Business Days of demand, reimburse the COFACE Agent and the Security Facility Agent for the amount of all reasonable costs and expenses (including legal fees) properly incurred by the COFACE Agent and the Security Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: If (a) the Borrower requests an amendment, waiver or consent; or consent under any Finance Document or (b) an amendment is required pursuant to Clause 31.10 27.9 (Change of Currencycurrency), the Borrower shall, within three ten (310) Business Days of demand, reimburse the COFACE Agent and the Security Facility Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (a) the Borrower an Obligor requests an amendment, waiver or consent; or consent or (b) an amendment is required to be made pursuant to Clause 31.10 27.9 (Change of Currencycurrency), the Borrower an Obligor shall, within three (3) ten Business Days of demand, reimburse the COFACE Agent and the Security Facility Agent for the amount of all reasonable costs and expenses (including legal fees) incurred by the COFACE Agent and the Security Facility Agent in responding to, evaluating, negotiating or complying with that request the relevant requirement or requirement, unless otherwise expressly provided by law or regulation or governmental authority to be not payable by an Obligor.

Amendment costs. If: (a) the Borrower an Obligor requests an amendment, waiver or consent; or (b) an amendment is required pursuant to Clause 31.10 26.9 (Change of Currencycurrency), the Borrower shall, within three ten (310) Business Days of demand, reimburse each of the COFACE Agent and the Security Agent for the amount of all documented costs and expenses (including legal fees) (but subject to pre-agreed fee caps, if any, or, absent such agreement which costs have been reasonably incurred) incurred by the COFACE Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirementAgent.

Amendment costs. If: If (a) the Borrower requests an amendment, waiver or consent; or consent under any Finance Document or (b) an amendment is required pursuant to Clause 31.10 28.9 (Change of Currencycurrency), the Borrower shall, within three ten (310) Business Days of demand, reimburse the COFACE Facility Agent and or the Security Agent Agent, as appropriate, for the amount of all costs and expenses (including legal fees) reasonably incurred by the COFACE Facility Agent and the Security Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If: (aA) the Borrower an Obligor requests an amendment, waiver or consent; or (bB) an amendment is required pursuant to Clause 31.10 31.9 (Change of Currencycurrency), the Borrower shall, within three (3) 15 Business Days of demand, reimburse the COFACE Agent and the Security Facility Agent for the amount of all fees, costs and expenses (including legal fees) reasonably incurred by the COFACE Agent and the Security Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.
