Amendment of Article VIII. Article VIII of the Purchase Agreement is hereby amended by adding the following new Section 8.12: “Wickliffe IRBs. Purchaser shall have received evidence reasonably satisfactory to it that, effective as of the Closing, all right, title and interest to the industrial revenue bonds listed in Schedule 8.12 (the “Wickliffe IRBs”) shall be transferred to Purchaser or its Designated Affiliate pursuant to agreements and instruments reasonably satisfactory to Purchaser.”
Amendment of Article VIII. Delete Article VIII. The numbering of all remaining Articles will reflect the deletion of Article VIII. Articles IX to XX will be renumbered VIII to XIX.
Amendment of Article VIII. Article VIII of the Credit Agreement is hereby amended by adding the following Section 8.12 to the end of such Article VIII. -3- -Contango Third Amendment-

Article VIII of the Contract is hereby amended to add the following language at the end of the existing paragraph: Notwithstanding the foregoing, the following shall be a condition precedents to Purchaser's obligations to close the purchase of the Land: At Closing, Seller shall execute a document causing the timeshare declaration (as amended) encumbering the Land to be removed so that the Title Policy can be issued without exception for the current timeshare declaration (as amended). If the foregoing condition is not satisfied on or at Closing, then Purchaser will be entitled, as Purchaser's sole and exclusive remedies, either (i) to terminate the Contract, in which event the xxxxxxx money (less $500.00) shall be returned to Purchaser by the Title Company, or (ii) to waive the foregoing conditions and proceed with the closing of the Contract.
Amendment of Article VIII. Article VIII of the Indenture is hereby deleted in its entirety and is replaced with the following: "[intentionally omitted]".
Amendment of Article VIII. The provisions of Sections 8.02, 8.03 or 8.04 may be amended or added to, from time to time, by execution by the Lenders and the Facility Administrative Agent of an instrument in writing and that instrument in writing shall validly and effectively amend or add to any or all of the provisions of Sections 8.02, 8.03 or 8.04 without requiring the execution of such instrument in writing by the Borrower, provided that such amendment or addition does not adversely affect the rights or obligations of the Borrower hereunder. The Facility Administrative Agent shall furnish to the Borrower a copy of any such instrument in writing amending Sections 8.02, 8.03 or 8.04.
