Amendment of Organizational Documents, Material Indebtedness or Certain Contracts. Amend, modify or waive (a) its Organization Documents in a manner materially adverse to the Credit Parties, (b) the definition ofLicensed Merchandise” under any Licensed Merchandise Agreement, or (c) any other provisions of any Licensed Merchandise Agreement or any Loan Party’s rights under any Material Indebtedness, in each case to the extent that such amendment, modification or waiver (i) would violate, or compliance with which could reasonably be expected to result in the violation of, any Loan Document, (ii) otherwise could reasonably be expected to be materially adverse to the interests of the Credit Parties, taken as a whole, or (iii) could be reasonably expected to have a Material Adverse Effect.

Amendment of Organizational Documents, Material Indebtedness or Certain Contracts. (a) Amend, modify or waive (i) its Organization Documents in a manner materially adverse to the Credit Parties, (ii) amend, modify or otherwise supplement the definition ofLicensed Merchandise” under any Licensed Merchandise Document or (iii) any other provisions of any Licensed Merchandise Document (other than the Merchandising Agreement Side Letter, the amendment or modification of which is governed by the terms of such agreement) or the provisions of or any Loan Party’s rights under any Material Indebtedness, in each case under this clause (iii), to the extent that such amendment, modification or waiver (x) would violate, or compliance with which could reasonably be expected to result in the violation of, any Loan Document, (y) otherwise could reasonably be expected to be materially adverse to the interests of the Credit Parties, taken as a whole, or (z) could be reasonably expected to have a Material Adverse Effect.
