The BIOCLINICA project manager will participate in teleconferences as needed with VASCULAR BIOGENICS to discuss the overall project progress, issues, timelines etc. The frequency and duration of the teleconferences may vary during the course of the study. TELECONFERENCES. Consultant shall participate in bi-weekly status teleconferences with the City to discuss overall work progress and the status of near-term efforts and requirements. At the Administrative Agent’s request, not less than monthly, the Loan Parties shall be available to conduct a telephonic meeting with the CRO and the Loan Parties’ other advisors in which the respective representatives of the Lead Borrower, each other Loan Party, the Administrative Agent, and their respective advisors and counsel shall be entitled to participate, whereupon the Lead Borrower shall present, among other things, an update on the Loan Parties’ cash flow, changes in management and/or organizational structure, business operations, and financial performance and updates regarding the Contingency Transition Plan and their efforts to obtain a Specified RefinancingLiquidity Transaction, including prospective lendersparties contacted, diligence information provided, proposals or commitments received and the status of negotiation and documentation of such replacement financingtransaction, and the Lead Borrower shall promptly provide copies of any such proposals, commitments or other documents to the Administrative Agent.

Communication that is more frequent may occur if necessary, and as requested by the City’s Contract Manager. Comments from the City’s review of the Consultant’s draft and final deliverables will be recorded on a Quality Review Form. Consultant shall review the City’s comments, confirm with the City how Consultant shall address the comments in the next iteration of the deliverable or a subsequent deliverable, and then submit a Quality Review Form with responses to the City’s comments.
