Teleconferences. Contractor shall conduct a teleconference meeting on an as needed basis with the Agreement Manager to review Contractor’s performance of the Services, and to discuss upcoming activities and issues relative to the fulfillment of this Agreement. EFI acknowledges that due to the difference in time zones, scheduling difficulties may occur; however, Contractor shall use its best efforts to be available for such teleconference meetings.

Teleconferences. Starting three (3) months after the Effective Date and continuing through the Term of the Agreement, every three (3) months ADP TotalSource will provide LightHouse with an update regarding progress on the Accessibility improvements, policies, and procedures required by Sections IV and V of this Agreement. Teleconferences. At the Administrative Agent’s request, not less than monthly, the Loan Parties shall be available to conduct a telephonic meeting in which the respective representatives of the Lead Borrower, each other Loan Party, the Administrative Agent, and their respective advisors and counsel shall be entitled to participate, whereupon the Lead Borrower shall present, among other things, an update on the Loan Parties’ cash flow, changes in management and/or organizational structure, business operations, and financial performance and updates regarding their efforts to obtain a Specified Refinancing Transaction, including prospective lenders contacted, diligence information provided, proposals or commitments received and the status of negotiation and documentation of such replacement financing, and the Lead Borrower shall promptly provide copies of any such proposals, commitments or other documents to the Administrative Agent.

Teleconferences. Except as required otherwise under applicable law, regulation or these Bylaws, any regular or special meeting of the Board or any meeting of any committee may be held by means of video conferencing, conference telephone or similar communications equipment by which all persons participating in the meeting can communicate with each other; provided, however, that a decision to hold a meeting in such a manner must be made by the Chairperson or the Chief Executive Officer or the President, or, if there is a vacancy in the position of Chairperson or during the absence or disability of the Chairperson, the Chief Executive Officer or the President, the Vice Chairperson, or if the Chairperson, Vice Chairperson, the Chief Executive Officer and President are unavailable, the Acting Chairperson.
