Amendment of Original Credit Agreement. In reliance on the representations, warranties, covenants and agreements contained in this Amendment, and subject to the terms and conditions contained herein, the parties hereto agree as follows:

Amendment of Original Credit Agreement. On the Amendment Date, the Original Credit Agreement shall be, and is hereby amended to delete the stricken text (indicated textually in the same manner as the following example: stricken text) and to add the double-underlined text (indicated textually in the same manner as the following example: double-underlined text) as set forth in Annex I hereto (as set forth in such Annex I, the “Amended Credit Agreement”), and as so amended is hereby ratified, approved and confirmed in each and every respect by all parties hereto. The rights and obligations of the parties to the Original Credit Agreement with respect to the period prior to the Amendment Date shall not be affected by such amendment.

Amendment of Original Credit Agreement. The Original Credit Agreement has not been amended or otherwise modified in any respect except pursuant to this First Amendment, and the Original Credit Agreement, asamended by this First Amendment, is in full force and effect.
