Amendment of Participation Agreement. The Participation Agreement is hereby amended by replacing Schedule A to the Participation Agreement with Schedule A attached to this Amendment.

(b) The phrase “variable life insurance policies”, in the fifth Whereas clause in the recitals of the Agreement, is deleted and replaced with “variable life insurance policies and/or variable annuity contracts”.
(c) The following is added to the recitals of the Agreement as a new ninth Whereas clause:

Amendment of Participation Agreement. This agreement may be amended in accordance with sections 28, 29 and 30 of the Restructuring Act. This agreement does not provide for amendment in any other way.
Amendment of Participation Agreement. This Participation Agreement may not be amended except by an instrument in writing signed by the parties and, if such amendment occurs after the issuance of the Bonds, upon compliance with the provisions of Sections 4.01 and 4.02 of the Indenture.
Amendment of Participation Agreement. This Participation Agreement may not be amended except by an instrument in writing signed by the parties hereto and upon compliance with the applicable provisions of Sections 14.06, 14.07 and 14.08 of the Indenture. Subject to the provisions of Section 14.06 of the Indenture, any provision of this Participation Agreement expressly recognizing or granting rights in or to the Bond Insurer may not be amended in any manner which affects the rights of the Bond Insurer hereunder without the prior written consent of the Bond Insurer.
Amendment of Participation Agreement. Section 6.01 of the Participation Agreement is hereby amended by deleting Section 6.01(u) in its entirety and substituting therefor "(u) Intentionally Omitted".
