Schedule A definition

Schedule A has the meaning specified in Section 2.3(a);

Schedule A means the schedule attached to this Agreement and made a part hereof. Schedule A shall be updated upon a change in any of the benefits under Articles 2 or 3.

Examples of Schedule A in a sentence

• The Funds’ access to and use of the BNYM System (as defined in Schedule A) or any component thereof shall be subject to the terms and conditions of the Sub Agreement granting BNYMTI access to the BNYM System.

• If Schedule A indicates “none” with respect to proxy voting authority, the Sub-Adviser shall have no proxy voting authority or responsibilities with respect to a Fund’s proxy voting obligations.

• The Trust hereby appoints the Adviser to act as investment adviser to the Trust on behalf of the portfolio series of the Trust established and designated by the Board of Trustees of the Trust (the “Trustees”) on or before the date hereof, as listed on attached Schedule A (collectively, the “Existing Series”), for the period and on the terms set forth herein.

• Neither the Grantee nor the Company, individually or in combination, may accelerate any payment or benefit that is subject to Code Section 409A, except in compliance with Code Section 409A and the provisions of this Agreement and Schedule A hereto, and no amount that is subject to Code Section 409A shall be paid prior to the earliest date on which it may be paid without violating Code Section 409A.

• The Investment Manager hereby appoints the Administrator to provide or procure, as applicable, for each Trust or, in the case of a Trust that has divided its shares into separate series, for each series of the Trust identified on Schedule A to this Subcontract (each, a “Fund”),1 the administrative and other services described in Section 3 of this Subcontract for the period and on the terms set forth in this Subcontract, as may be supplemented from time to time.

Schedule A means the benefit description form attached to this Agreement, which is updated by the Plan Administrator on an annual basis. If there is a conflict in any terms or provisions between the Schedule A and this Agreement, the terms and provisions of this Agreement shall prevail.
