Common use of Amendment or Assignment Clause in Contracts

Amendment or Assignment. This Agreement may be amended with respect to a Portfolio only if such amendment is specifically approved by (i) the vote of the outstanding voting securities of such Portfolio and (ii) a majority of the Directors, including a majority of those Directors who are not parties to this Agreement or interested persons of any such party, cast in person at a meeting called for the purpose of voting on such approval, provided that this Agreement may be amended to add a new series of Shares or delete an existing series of Shares without a vote of the holders of Shares of any other Portfolio covered by this Agreement. This Agreement shall automatically and immediately terminate in the event of its assignment, as that term is defined in the 1940 Act and the rules thereunder.

This Agreement may be amended with respect to a Portfolio only if such amendment amend- ment is specifically approved by (i) the vote of the outstanding voting securities secu- rities of such Portfolio and (ii) a majority of the DirectorsTrustees, including a majority ma- jority of those Directors Trustees who are not parties to this Agreement or interested persons of any such party, cast in person at a meeting called for the purpose of voting on such approval, provided that this Agreement may be amended to add a new series of Shares Portfolio or delete an existing series of Shares Portfolio without a vote of the of share- holders of Shares of any other Portfolio covered by this Agreement. This Agreement shall automatically and immediately terminate in the event of its assignment, as that term is defined in the 1940 Act and the rules thereunder.
