Amendment to Compliance Certificate. The form of Compliance Certificate attached to the Credit Agreement as Exhibit B is hereby amended and restated in its entirety to read as set forth on Exhibit B to this Amendment.

The Borrower, the Loan Parties and the Lenders agree that the Compliance Certificate is hereby amended to include a new item 6, which shall include a description of Asset Sales consummated since the Closing Date including reference to the assets sold, the date of such Asset Sale, the aggregate Net Asset Sale Proceeds and the amount of Excluded Proceeds elected by the Borrower from such Net Asset Sale Proceeds (both singly and in the aggregate for the current fiscal year and since the Closing Date).
