Amendment to Existing Agreement. The Existing Agreement is, effective as of the date hereof and subject to the satisfaction of the conditions precedent set forth in Section 2 hereof, hereby amended as follows:
Amendment to Existing Agreement. Each of the Company and each New Holder hereby agrees that the Existing Agreement is hereby amended by:
(i) Replacing the second paragraph of the recitals with the following paragraph: “WHEREAS, the Company proposes to issue and sell US$16,000,000 aggregate principal amount of its Senior Secured Increasing Rate Notes due 2007 (the “2005 Notes”), US$8,802,600 aggregate principal amount of its Tranche A Senior Secured Increasing Rate Notes due 2007 (the “2006 Notes”), US$13,011,120.00 aggregate principal amount of its Tranche B Senior Secured Increasing Rate Notes due 2007 (the “December 2006 Notes”) and US$13,011,120.00 aggregate principal amount of its Tranche C Senior Secured Increasing Rate Notes due 2007 (the “April 2007 Notes”) to the several Purchasers;”
(ii) Inserting the following new definition in alphabetical order in Section 1.01 of the Existing Agreement:
Amendment to Existing Agreement. This Agreement shall replace clause 2.0 in the Amended Consultant Agreement dated July 10, 2013 and amend it accordingly.
Amendment to Existing Agreement. This Agreement shall replace clause 5.0 in the Consulting Agreement and amend it accordingly.
Amendment to Existing Agreement. The Existing Agreement shall be amended in the manner specified in this Section 1.

Section 11.1 (a) is hereby deleted in its entirety and the following is substituted therefor:

Amendment to Existing Agreement. In reliance upon the representations and warranties set forth in Article 4 herein, the Existing Agreement is hereby amended as follows:
Amendment to Existing Agreement. The Parties acknowledge and agree that as of the Effective Date the Parties have amended the Existing Agreement to exclude the targets [***] and [***] and all Compounds to such targets. For the avoidance of doubt, the Parties agree that, as of the Effective Date and continuing in full force during the Term, the Existing Agreement shall cease to apply to the Targets. In the event that there is a conflict between the terms of this Agreement and the Existing Agreement, the terms of this Agreement shall prevail. The terms of the Existing Agreement shall continue in full force and effect in respect of any compounds that do not bind to either of the Targets. Amendment to Existing Agreement. This Agreement shall replace clause 6.0 in the Employment Agreement and Amendment and amend it accordingly.
