Common use of Amendment to Offering Memorandum and Supplements Clause in Contracts

Amendment to Offering Memorandum and Supplements. The Company will advise each Initial Purchaser promptly of any proposal to amend or supplement the Offering Memorandum and will not effect such amendment or supplement without the consent of the Initial Purchasers, provided that the Initial Purchasers shall object by written notice to the Company within three business days after receipt of a copy of any such proposed amendment 18 or supplement. Neither the consent of the Initial Purchasers, nor the Initial Purchaser's delivery of any such amendment or supplement, shall constitute a waiver of any of the conditions set forth in Section 5 hereof.
