Amendment to Section 11.1(d). Section 11.1(d) of the Merger Agreement is hereby amended and restated as follows: “(d) by either the Stockholders’ Representative or ILOG, Inc. if the Closing shall not have occurred by April 30, 2007; provided, that the right to terminate this Agreement under this Section 11.1(d) shall not be available if the failure of the party so requesting termination to fulfill any obligation under this Agreement shall have been the cause of, or shall have resulted in, the failure of the Closing to occur on or prior to such date;”
