AMENDMENT TO SECTION 3(a) OF THE EMPLOYMENT AGREEMENT. Section 3(a) of the Employment Agreement is modified, subject to and effective upon the completion of the IPO, by replacing the existing Section 3(a) in its entirety with a new Section 3(a) as follows:

AMENDMENT TO SECTION 3(a) OF THE EMPLOYMENT AGREEMENT. Section 3(a) of the Employment Agreement is hereby deleted in its entirety and replaced with the following:
AMENDMENT TO SECTION 3(a) OF THE EMPLOYMENT AGREEMENT. Section 3(a) of the Employment Agreement is hereby amended to increase executive’s Base Salary to $225,000 effective July 1, 2012.
AMENDMENT TO SECTION 3(a) OF THE EMPLOYMENT AGREEMENT. Section 3(a) of the Agreement is hereby amended to provide that the Executive shall also serve as the Corporation’s Chief Operating Officer during the Term of the Agreement. The Executive shall not be entitled to any additional compensation in connection with the appointment of him to such additional office.
