Amendment to Section 3(a) of the Original Agreement. The first sentence of Section 3(a) of the Original Agreement is hereby amended by inserting the following at the end of such sentence: provided further, however, that in the case of an offering intended to be an Initial Public Offering, the Company shall not be obligated to provide written notice of any proposed filing of a registration statement to the Holders of the Registrable Securities until no less than 15 days before the anticipated filing date of a registration statement (or a pre-effective amendment thereof) that first identifies SCF as a selling stockholder in such registration statement.
