AMENDMENT TO SECURITY AGREEMENT; FILINGS. An amendment to the Security Agreement (or, if applicable, the Existing Subsidiary Guaranty and Security Agreement), duly executed and delivered by the Company (or the appropriate Subsidiary) and the Agent and the certificates identified in Annex 1 thereto, accompanied by undated stock powers executed in blank. In addition, the Company shall have taken such other action (including, without limitation, delivering to the Agent, (i) Uniform Commercial Code searches for each Supplemental Guarantor for each jurisdiction in which such Supplemental Guarantor conducts its respective business or in which any of its respective Properties are located (or otherwise as the Agent may reasonably request) and (ii) for filing, appropriately completed and duly executed copies of Uniform Commercial Code financing statements) as the Agent shall have requested in order to perfect the security interests created pursuant to such amendment to the Security Agreement and/or the relevant Supplemental Subsidiary Guarantee and Security Agreement.

In addition, upon the request of the Agent, the Company shall have taken such other action (including, without limitation, delivering to the Agent, (i) Uniform Commercial Code searches for each Supplemental Guarantor for each jurisdiction in which such Supplemental Guarantor conducts its respective business or in which any of its respective Properties are located (or otherwise as the Agent may reasonably request) and (ii) for filing, appropriately completed and duly executed copies of Uniform Commercial Code financing statements) as the Agent shall have requested in order to perfect the security interests created pursuant to such amendment to the Security Agreement Agreement, the Subsidiary Guarantee and Security Agreement, and/or the relevant Supplemental Subsidiary Guarantee and Security Agreement.
