AMENDMENT TO THE FACILITY AGREEMENT. Subject to the fulfilment of the conditions precedent set out in section 3.1 above and with effect from the Amendment No. 1 Closing Date, the Facility Agreement shall be amended as expressly set out in this Amendment No. 1 above. This Amendment No. 1 shall be read together with the Facility Agreement as one agreement and, save as expressly amended by this Amendment No. 1, the Facility Agreement shall remain unaltered and in full force and effect.
AMENDMENT TO THE FACILITY AGREEMENT. Section 5.3(b) of the Facility Agreement is hereby amended by amending and restating such Section in its entirety as follows:

AMENDMENT TO THE FACILITY AGREEMENT. 4.1 The parties hereto hereby agree that with effect from the Effective Date the Facility Agreement shall be amended to read in accordance with the amended and restated facility agreement attached hereto as Appendix 1 and will continue to be binding upon each of the parties thereto in accordance with its terms as so amended and restated.

This Amending Agreement shall be read together with the Facility Agreement as one agreement and, save as expressly amended by this Amending Agreement, the Facility Agreement shall remain unaltered and in full force and effect. In the event that the conditions precedent set out in clause 3 above are not fulfilled by December 30, 2010, this Amending Agreement, save for clause 3.4 above, shall no longer be of any force or effect and the Facility Agreement shall remain unaltered and in full force and effect.
