Common use of Amendments and Governing Law Clause in Contracts

Amendments and Governing Law. No agreement or understanding to modify this Purchase Order shall be binding upon the Buyer unless in writing and signed by Xxxxx's authorized agent. All specifications, drawings, and data submitted to Seller with this Purchase Order are hereby incorporated herein and made a part hereof. Irrespective of the place of performance, this Purchase Order will be construed and interpreted according to the Federal Common Law of Government Contracts as enunciated and applied by Federal Judicial Bodies, Boards of Contract Appeals, and Quasi-Judicial Agencies of the Federal Government. To the extent that the federal common law of government contracts is not dispositive, the laws of the State of Florida shall apply, exclusive of its rules concerning conflicts of laws. .
