Common use of Amendments; Successors Clause in Contracts

Amendments; Successors. (a) This Agreement may be amended or supplemented if, but only if, such amendment or supplement is in writing and is signed by the Company and you. This Agreement is not assignable by either party hereto without the written consent of the other party. (b) This Agreement will inure to the benefit of and be binding upon the parties hereto and their respective successors and the controlling persons referred to in Section 5 and the purchasers of CP Notes (to the extent expressly provided in Section 7), and no other person will have any right or obligation hereunder. (c) The Company will give you notice of any proposed cancellation, amendment, supplement, waiver or consent to or under the Paying Agency Agreement at least seven (7) days prior to the effective date thereof.
