With effect on and from the Effective Date, Article 1.1 of the Debenture is hereby amended by: (i) deleting the definition “Conversion Price” therefrom in its entirety and substituting the following therefor: “Conversion Price”: means $3.00 per Common Share, subject to adjustment in certain circumstances as provided for in Section 3.5.
