Amendments to Articles and By-laws. As further consideration for this refinancing, BHC agrees to amend its Articles of Incorporation and By-laws to reflect that its mission is expanded to provide community services and general administrative activities associated with the development, improvement, and preservation of low- and moderate-income housing in the City of Burbank, including but not limited to activity centers and child care, and that its powers and purpose be limited to the geographic boundaries of the City of Burbank. Acquiring property, or entering into contacts for the operation of the community services shall further be allowed, but only as long as the Agency and City approve all contracts/sales which do not directly involve the Agency or City, and this consent is in each body’s sole and absolute discretion. The amended provisions required by this section, shall not be changed without Agency and City prior approval, which provision shall also be expressly provided. The required provisions shall be reflected in the Articles and By-laws, to the extent legally possible. Whether or not the provisions are incorporated into the articles and by-laws, any violation of this section will further be deemed to be a default of the Loan Agreement, causing acceleration of the Loan as amended herein. The City Attorney shall approve all modifications before BHC submits amended articles and before amending by-laws to the appropriate governmental entities, which submission shall occur within six months of this agreement.
