(a) such amendment is in writing and signed by, or on behalf of, the parties; and
(b) if it is an amendment which
(i) requires XXX’x approval under section 22 of the Act; or
(ii) is made under section 22A or 22C of the Act or Schedule 4A to the Act the amendment has been so approved or directed by XXX, as applicable.
