Common use of AMF Clause in Contracts

AMF. The Company has received a valid approval of the AMF pursuant to Section 12 of the Securities Act (Québec) with respect to the Registration Statement and the offering of Placement Shares thereunder, and the AMF has not withdrawn or modified such approval. Any certificate signed by an authorized officer of the Company and delivered to Xxxxxxxxxx or to counsel for Xxxxxxxxxx pursuant to or in connection with this Agreement shall be deemed to be a representation and warranty by the Company, as applicable, to Xxxxxxxxxx as to the matters set forth therein.

AMF.
