Common use of Annual and Quarterly Financial Statements Clause in Contracts

Annual and Quarterly Financial Statements. Agilent shall provide to HP on a timely basis all Information that HP reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of HP's annual and quarterly financial statements. Without limiting the generality of the foregoing, Agilent will provide all required financial Information with respect to Agilent and its Subsidiaries to Agilent's Auditors in a sufficient and reasonable time and in sufficient detail to permit Agilent's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to HP's Auditors with respect to Information to be included or contained in HP's annual and quarterly financial statements. Similarly, HP shall provide to Agilent on a timely basis all Information that Agilent reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of Agilent's annual and quarterly financial statements. Without limiting the generality of the foregoing, HP will provide all required financial Information with respect to HP and its Subsidiaries to HP's Auditors in a sufficient and reasonable time and in sufficient detail to permit HP's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to Agilent's Auditors with respect to Information to be included or contained in Agilent's annual and quarterly financial statements.

Agilent Roxio shall provide to HP Adaptec on a timely basis all Information that HP Adaptec reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of HPAdaptec's annual and quarterly financial statements. Without limiting the generality of the foregoing, Agilent Roxio will provide all required financial Information with respect to Agilent Roxio and its Subsidiaries to AgilentRoxio's Auditors in a sufficient and reasonable time and in sufficient detail to permit AgilentRoxio's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to HPAdaptec's Auditors with respect to Information to be included or contained in HPAdaptec's annual and quarterly financial statements. Similarly, HP Adaptec shall provide to Agilent Roxio on a timely basis all Information that Agilent Roxio reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of AgilentRoxio's annual and quarterly financial statements. Without limiting the generality of the foregoing, HP Adaptec will provide all required financial Information with respect to HP Adaptec and its Subsidiaries to HPAdaptec's Auditors in a sufficient and reasonable time and in sufficient detail to permit HPAdaptec's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to AgilentRoxio's Auditors with respect to Information to be included or contained in AgilentRoxio's annual and quarterly financial statements.

Without limiting the generality of the foregoing, Agilent MMI will provide all required financial Information with respect to Agilent MMI and its Subsidiaries to AgilentMMI's Auditors in a sufficient and reasonable time and in sufficient detail to permit AgilentMMI's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to HPMillipore's Auditors with respect to financial Information to be included or contained in HPMillipore's annual and quarterly financial statements. Similarly, HP Millipore shall provide to Agilent MMI on a timely basis all financial Information that Agilent MMI reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of AgilentMMI's annual and quarterly financial statements. Without limiting the generality of the foregoing, HP Millipore will provide all required financial Information with respect to HP Millipore and its Subsidiaries to HPMillipore's Auditors in a sufficient and reasonable time and in sufficient detail to permit HPMillipore's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to AgilentMMI's Auditors with respect to Information to be included or contained in AgilentMMI's annual and quarterly financial statements.

Agilent Vialta shall provide to HP ESS Technology on a timely basis all Information that HP ESS Technology reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of HPESS Technology's annual and quarterly financial statements. Without limiting the generality of the foregoing, Agilent Vialta will provide all required financial Information with respect to Agilent Vialta and its Subsidiaries to AgilentVialta's Auditors in a sufficient and reasonable time and in sufficient detail to permit AgilentVialta's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to HPESS Technology's Auditors with respect to Information to be included or contained in HPESS Technology's annual and quarterly financial statements. Similarly, HP ESS Technology shall provide to Agilent Vialta on a timely basis all Information that Agilent Vialta reasonably requires to meet its schedule for the preparation, printing, filing, filing and public dissemination of AgilentVialta's annual and quarterly financial statements. Without limiting the generality of the foregoing, HP ESS Technology will provide all required financial Information with respect to HP ESS Technology and its Subsidiaries to HPESS Technology's Auditors in a sufficient and reasonable time and in sufficient detail to permit HPESS Technology's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to AgilentVialta's Auditors with respect to Information to be included or contained in AgilentVialta's annual and quarterly financial statements.

Agilent Supply Holdco shall provide to HP Allegheny on a timely basis all Information that HP Allegheny reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of HPAllegheny's annual and quarterly financial statements. Without limiting the generality of the foregoing, Agilent Supply Holdco will provide all required financial Information with respect to Agilent Supply Holdco and its Subsidiaries to Agilent's the Supply Holdco Auditors in a sufficient and reasonable time and in sufficient detail to permit Agilent's the Supply Holdco Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to HPAllegheny's Auditors with respect to Information to be included or contained in HPAllegheny's annual and quarterly financial statements. Similarly, HP Allegheny shall provide to Agilent Supply Holdco on a timely basis all Information that Agilent Supply Holdco reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of AgilentSupply Holdco's annual and quarterly financial statements. Without limiting the generality of the foregoing, HP Allegheny will provide all required financial Information with respect to HP Allegheny and its Subsidiaries to HPAllegheny's Auditors in a sufficient and reasonable time and in sufficient detail to permit HPAllegheny's Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to Agilent's the Supply Holdco Auditors with respect to Information to be included or contained in AgilentSupply Holdco's annual and quarterly financial statements.

Agilent Omega shall provide to HP Mestek on a timely basis all Information that HP Mestek reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of HP's Mestek’s annual and quarterly financial statementsstatements for so long as Mestek is a publicly traded company. Without limiting the generality of the foregoing, Agilent Omega will provide all required financial Information with respect to Agilent Omega and its Subsidiaries to Agilent's Omega’s Auditors in a sufficient and reasonable time and in sufficient detail to permit Agilent's Omega’s Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to HP's Mestek’s Auditors with respect to financial Information to be included or contained in HP's Mestek’s annual and quarterly financial statements. Similarly, HP Mestek shall provide to Agilent Omega on a timely basis all financial Information that Agilent Omega reasonably requires to meet its schedule for the preparation, printing, filing, and public dissemination of Agilent's Omega’s annual and quarterly financial statements. Without limiting the generality of the foregoing, HP Mestek will provide all required financial Information with respect to HP Mestek and its Subsidiaries to HP's Mestek’s Auditors in a sufficient and reasonable time and in sufficient detail to permit HP's Mestek’s Auditors to take all steps and perform all reviews necessary to provide sufficient assistance to Agilent's Omega’s Auditors with respect to Information to be included or contained in Agilent's Omega’s annual and quarterly financial statements.
