Common use of Annual Certification by Officer Clause in Contracts

Annual Certification by Officer. On or before April 30 in each calendar year, commencing in 2014, the Servicer shall deliver to the Issuer and the Collateral Agent and Custodian an Officer’s Certificate to the effect that: (a) To the best of the knowledge of the officer signing such certificate, all premiums for each Hazard Insurance Policy and Flood Insurance Policy (if any), with respect to each REO Property have been paid and that all such insurance policies are in full force and effect. (b) The officer signing such certificate has reviewed the activities and performance of the Servicer during the preceding fiscal year under the Servicing Agreement and, to the best of such officer’s knowledge, the Servicer has fulfilled all of its duties, responsibilities or obligations under the Servicing Agreement throughout such year, or, if there has been a default or failure of the Servicer to perform any of such duties, responsibilities or obligations, a description of each default or failure and the nature and status thereof and the actions that the Servicer proposes to take to cure the same. (c) Such officer has confirmed that the insurance required by Section 2.03 of this Servicing Agreement is in full force and effect, and that the relevant insurer(s) is/are still Qualified Insurer(s) as of the date of the certification. (d) To the best of the knowledge of the officer signing such certificate, all inspections required to be made pursuant to Section 8.01 of this Servicing Agreement have been made. The Servicer shall also furnish and certify such other information as to its organization, activities and personnel as the Issuer or the Collateral Agent and Custodian may reasonably request from time to time.
