Annual Conflicts Notice and Waiver Request. On or before January 15th of each year, Employee shall provide a written statement to the Chairman of the Audit Committee of the Board setting forth in detail all known actual or potential conflicts of interest or business gifts such Employee, or a member of Employee’s family, has received as of January 1st of the current year, which have not previously been reported under the Code. A waiver request should be included with respect to each conflict or potential conflict not previously disclosed and waived.
