Annual Consultant Fee. Consultant’s annual consultant fee of $300,000 per annum (“Annual Consultant Fee”). The Company shall pay the 1/12 of the amount of the Annual Consultant Fee to the Consultant once per calendar month (each of such payment intervals, “Payment Cycle”), provided that the Consultant performs the Services required to be performed in each of such Payment Cycle.

Annual Consultant Fee. In consideration for the consulting services to be provided to the Company by the Consultant, while this Agreement is in effect, the Consultant shall be paid an annual consultant fee of One Hundred Thousand Dollars ($100,000) to be paid in equal installments on a monthly basis. The Consultant shall be solely responsible for payment of all taxes or other charges imposed on its compensation hereunder. The foregoing constitutes all compensation to be paid to the Consultant hereunder, and the Consultant acknowledges and agrees that the Consultant is and shall not be an employee of Company, shall not be entitled to any insurance, vacation, or any other benefits provided by the Company to its employees.
