Annual Forecast. The Parties will discuss annually, and revise periodically as appropriate, Distributor’s commercial objectives including Distributor’s market analysis, sales objectives and prices, including an annual forecast of anticipated orders for the Products (“Forecast”) and more generally each material component of the commercial relationship. The Forecast will be provided to Distributor via email at inception of this Agreement. The Parties will discuss and revise the Forecast periodically by email as appropriate. For purposes of clarification, all Distributor reporting obligations as detailed in Section 3.4 above are part of its Forecast.

In addition to the annual audited financial report of ATP required pursuant to Section 4.2.1.3 of the Joint Powers Agreement and annually beginning with its Fiscal Year following entry into engineering pursuant to the Federal Transit Administration’s capital investment grant program, but no later than the beginning of Fiscal Year 2028, ATP shall provide City Finance staff with a financial plan for both a short term period (three-to-five-years) and a long term period (the term of which shall be at least 20 years or such greater term as determined by the Chief Financial Officers of the City and ATP); such financial plan must include all sources of revenues (inclusive of ATP revenues, federal funding, and bond proceeds), operating and maintenance expenditures, and capital expenditures (inclusive of the annual debt service payments for each anticipated series of bonds).
Annual Forecast. By July 1st of each Contract Year of this Agreement, the Client shall provide Patheon a yearly volume projection for Drug Product. To the extent that Patheon reasonably determines that the projections contained in that yearly volume forecast necessitate that an adjustment be made to the Fees for such Contract Year, Patheon shall, within 30 days of receipt by Patheon of the yearly forecast, be entitled to request an appropriate price adjustment. Annual Forecast. (a) Every year the Co-Proponents shall provide the Oversight Body with a forecast of upcoming changes to operational activities, along with references to the relevant Environmental Plans and Programs for the management and monitoring of those activities.
(b) If at any time the Co-Proponents intend to make significant changes to the forecast operational activities, the Co-Proponents shall inform the Oversight Body in writing of such change without unreasonable delay, and make this notification available to the public.
Annual Forecast. For operational forecast purposes only, unless the Purchaser otherwise submits to the Supplier on or before 1st June in each calendar year a non-binding annual forecast of its quarterly volume requirements set out on a month by month basis for each SUMF Item for the forthcoming calendar year and estimates of its volume requirements for each SUMF Item for the following three (3) calendar years, the Supplier shall use the prior year's volume forecast for SUMF Items and estimates of volume requirements for the forthcoming year and three (3) subsequent years. The Purchaser shall update any such forecast on or before September 1st of each year to provide its actual forecast.

Furnish to Bank, in form and detail reasonably satisfactory to Bank, not later than 30 days after the close of each fiscal year of Borrower, a forecast of the income and expense and balance sheet changes of Borrower for the succeeding fiscal year presented on a month-by-month and year-to-date basis and accompanied by a narrative summary of material assumptions.

As soon as practicable and in any event within ninety (90) days after the end of each Fiscal Year, a Consolidated forecast of Borrower and its Subsidiaries for the ensuing Fiscal Year, such plan to be prepared in accordance with GAAP and to include, on an annual basis for the remaining term of the Credit Facility, the following: a projected income statement, statement of cash flows and balance sheet, calculations demonstrating projected compliance with the financial covenants set forth in Section 9.14 and a summary discussion of the most relevant assumptions utilized and drivers to such forecast, accompanied by a certificate from a Responsible Officer to the effect that such forecast contains good faith estimates (utilizing assumptions believed to be reasonable at the time of delivery of such forecast) of the financial condition and operations of Borrower and its Subsidiaries for such period, it being understood that the forecast is subject to significant uncertainties and contingencies, many of which are beyond the control of Borrower and its Subsidiaries, and are not to be viewed as facts, and that the actual results during the period or periods covered by such forecast may vary materially from such forecast).
Annual Forecast. As soon as available, and in any event within thirty (30) days after the end of each Fiscal Year, an updated forecast for the Borrower and its Subsidiaries for the forthcoming fiscal year on a month by month basis, in form and detail reasonably acceptable to the Lender. In the event the Borrower materially revises any forecast previously delivered to the Lender, Borrower will promptly deliver such revised forecast to the Lender.
