Common use of Annual Rating Review Clause in Contracts

Annual Rating Review. (a) So long as any Class of Notes remains Outstanding (and the Commitment Period Termination Date has not occurred), on or before December 31 in each year commencing in 2006, the Co-Issuers shall obtain and pay for an annual review of the rating of each Class of Notes from each Rating Agency. (b) The Co-Issuers shall promptly notify the Trustee in writing and the Trustee shall promptly notify the Noteholders, the Hedge Counterparty and the Preferred Shareholders if at any time the rating of any Class of Notes has been, or is known will be, changed or withdrawn.
