Common use of Anti-Corruption Laws, Etc Clause in Contracts

Anti-Corruption Laws, Etc. (i) None of the Loan Parties or any of their respective Subsidiaries or any of the directors or officers of the Loan Parties or any of their respective Subsidiaries, or to the knowledge of each Loan Party, any of the Affiliates, employees or agents of the Loan Parties or any of their respective Subsidiaries: (A) has taken or will take any action in furtherance of an offer, payment, promise to pay, or authorization or approval of the payment or giving of money, property, gifts or anything else of value, directly or indirectly, to any Government Official to influence official action or secure an improper advantage or otherwise in any manner that would constitute or give rise to a violation of applicable Anti-Corruption Laws: or (B) is or has been, in the past five (5) years, subject to any action, proceeding, litigation, claim or investigation with regard to any actual or alleged violation of Anti-Corruption Laws.

(i) None of the Loan Credit Parties or any of their respective Subsidiaries or any of the directors or officers of the Loan Credit Parties or any of their respective Subsidiaries, or to the knowledge of each Loan Credit Party, any of the Affiliates, employees or agents of the Loan Credit Parties or any of their respective Subsidiaries: (A) has taken or will take any action in furtherance of an offer, payment, promise to pay, or authorization or approval of the payment or giving of money, property, gifts or anything else of value, directly or indirectly, to any Government Official or commercial counterparty to influence official action or secure an improper advantage or otherwise in other any manner that would constitute or give rise to a violation of applicable Anti-Corruption Laws: or (B) is or has been, in the past five (5) years, subject to any action, proceeding, litigation, claim or investigation with regard to any actual or alleged violation of Anti-Corruption Laws.

(i) None of the Loan Credit Parties or any of their respective Subsidiaries or any of the directors or officers of the Loan Credit Parties or any of their respective Subsidiaries, or to the knowledge of each Loan Credit Party, any of the Affiliates, employees or agents of the Loan Credit Parties or any of their respective Subsidiaries: (A) has taken or will take any action in furtherance of an offer, payment, promise to pay, or authorization or approval of the payment or giving of money, property, gifts or anything else of value, directly or indirectly, to any Government Official or commercial counterparty to influence official action or secure an improper advantage or otherwise in any manner that would constitute or give rise to a material violation of applicable Anti-Corruption Laws: Laws or (B) is or has been, in the past five (5) years, subject to any action, proceeding, litigation, claim or investigation by any Governmental Authority with regard to any actual or alleged violation of Anti-Corruption Laws.
